A sourcing call template is a structured format for documenting initial calls with potential acquisition targets, intermediaries, or brokers during the deal sourcing process. It defines what to capture from each conversation: the basic facts about the company, its financial profile as presented, the quality of the business and its competitive position, the ownership and management situation, and the deal dynamics including process and timeline. The goal is to produce a consistent, comparable record of every first call so the deal team can make a fast, informed go or no-go decision on whether to pursue further diligence.
About this template
This template has six sections. Each one tells Jamie what to capture during a sourcing call and how to structure the output.
Section 1: Company Overview
Captures the basic facts about the target: company name, industry, geography, business model in one sentence, founding year and ownership history, employee count, and source of the deal. The foundation for every comparison across your pipeline.
Section 2: Financial Profile
Documents the key financials as presented or discussed: revenue, EBITDA, growth rate, customer concentration, recurring vs. non-recurring revenue mix, and capex requirements. Flags what was stated vs. what needs to be verified.
Section 3: Business Quality Assessment
Captures the qualitative signals about the business - the competitive moat, market defensibility, customer profile and stickiness, key growth drivers, and any weaknesses mentioned or implied. This is where pattern recognition across many sourcing calls happens.
Section 4: Management and Ownership
Assesses the management team and current ownership situation: who are the key leaders, why is the owner selling, would management stay post-acquisition, and any key person risk to flag.
Section 5: Deal Dynamics
Captures the deal context: asking price or valuation expectations, deal structure preferences, whether this is a broad auction or bilateral process, timeline, and competitive dynamics.
Section 6: Screening Verdict and Next Steps
Provides a clear recommendation: pursue further, pass, or monitor. Top reasons to pursue, top reasons to pass, and the agreed next step.
