An investment committee meeting template is a structured format for documenting IC meetings during a deal process. It defines what should be captured from each session: the deal overview and investment thesis being presented, the key risks debated by the committee, the questions and points of disagreement raised by IC members, and the final decision including any conditions attached to approval. The goal is to produce a complete, accurate record of the committee's reasoning - not just the outcome - so the deal team has a clear audit trail of what was decided, why, and what conditions must be met before proceeding.
About this template
This template has six sections. Each one tells Jamie what to capture during an IC meeting and how to structure the output.
Section 1: Deal Overview
Captures the essential facts about the deal being presented: target company, deal type, enterprise value, proposed equity investment, the deal team presenting, and the IC stage. The foundation every other section builds on.
Section 2: Investment Thesis
Documents the core argument for why the deal should be done. The thesis in two to three sentences, the key value creation levers, what makes this asset attractive relative to alternatives, and the target return profile including entry multiple, IRR, and MOIC.
Section 3: Key Risks Discussed
Captures every risk the committee raised or debated - market and competitive risks, valuation concerns, management team risks, and operational or execution risks. For each risk: what was the concern, how did the deal team respond, and was the committee satisfied with the answer.
Section 4: Committee Questions and Debate
Documents the questions IC members asked and the substance of the discussion. Who asked what, deal team responses, points of disagreement between committee members, and areas where the committee asked for more work. This section captures the quality of the reasoning, not just the conclusion.
Section 5: Decision and Conditions
Captures the outcome: approved, approved with conditions, tabled for further work, or rejected. If conditions were attached, what exactly must happen before proceeding. If rejected, what were the primary reasons. Voting outcome if a formal vote was taken.
Section 6: Next Steps
Lists all actions coming out of the IC. What the deal team needs to do next, deadlines for follow-up work, external actions like LOI submission or management meetings, and any internal approvals still needed.

The IC is where the decision gets made. But the most valuable output is not the decision itself - it is the reasoning behind it.
